Three main themes permeated BoyarMiller's fifth annual capital markets panel last week: Speakers Encore Bank's Jim D'Agostino, JLL's Tom Fish, Duff & Phelps Securities' David Sargent, and Kanaly Trust's Drew Kanaly are concerned about the European debt situation and the fragility of the US economy, but they're optimistic about Texas and Houston. Jim called Houston the best banking market in the US (over 100 banks here with 1,500 locations). Bank capital ratios are at an all-time high and problem loans declined 6.5% last quarter. But bank revenues are down because of new government restrictions, he says.

The forum addressed U.S. stock market performance, the credit markets and the European debt crisis, while also digging into U.S. mergers and acquisitions activity with a focus on energy and middle markets, as well as the state of the U.S. employment market.

On June 6, 2011, CultureMap ran an on-line article covering the recent fundraiser gala held by CancerForward at the Houston Country Club. BoyarMiller's Chairman Chris Hanslik and wife Catherine (pictured right), as well as Executive Director Doug Parker attended the event which raised $185,000 earmarked for providing rehabilitation programs for cancer survivors who ar members of The Survivor Network, the virtual support group of the year-old Cancer Forward.
Joining Hanslik and Parker at the event was Bo Bothe of BrandExtract (BoyarMiller's marketing partner) who is a co-founder of CancerForward.

Judge Rules for Doctors' vs. Sadler Clinic The Montgomery County Courier by Howard Roden
On June 4, 2011 The Montgomery County Courier ran the following article as part of the continuing coverage of the Sadler Clinic/physician lawsuit. A state district court judge ruled that a non-compete clause in the employment contracts of seven former Sadler Clinic physicians is "unenforceable" as a matter of law because those contracts do not contain a "reasonable" buyout provision.
Chris Hanslik, BoyarMiller Vice Chairman and attorney for the group of physicians, was quoted in the article saying that he was "extremely pleased with the ruling".

Austin Ventures invests $30 in Emerus Hospitals Houston Business Journal by Allison Wollam
On January 21, 2011, The Houston Business Journal ran the following article announcing that Emerus Hospital Partners LLC received $30 million in growth capital from Austin Ventures. The capital will be used to support The Woodlands-based health care company's aggressive expansion plans, as well as mergers and acquisitions.

Doctors File Suit Against Sadler Clinic The Montgomery County Courier by Howard Roden
On August 28, 2010, The Montgomery County Courier ran the following article as part of the continuing coverage of the Sadler Clinic/physician lawsuit. Most recently, the five physicians who recently resigned from Sadler Clinic filed suit against the health care system last week, challenging the non-compete clause in their employment contracts.
Chris Hanslik, BoyarMiller Vice Chairman and attorney for the group of physicians, was quoted in the article saying that while he is "hopeful" to sit down with Sadler Clinic officials and "work out something," he considered filing the lawsuit a necessary step.

Sadler Clinic lays off 15 staff members The Montgomery County Courier by Howard Roden
On August 21, 2010, The Montgomery County Courier reported that "he pending departure of five physicians from the Sadler Clinic has resulted in another round of employee layoffs, the company's board chairman announced last week.
Fifteen staff members were notified Friday that Sept. 3 would be their last day of employment with the Conroe-based medical system. Their terminations were the result of the "recently announced physician departures," Dr. Mark Wilkerson, chairman of the board for Sadler Clinic, said in a prepared statement."
Chris Hanslik, BoyarMiller Vice Chairman, represented the 24 former Sadler doctors who filed suit against the clinic. However, the physicians and Sadler officials reached a settlement in June that allowed those doctors to practice medicine within a 22-mile radius of the clinic's primary facility in Conroe.
Hanslik said there had been "only preliminary discussions" with Sadler officials about a settlement with his latest group of clients. Nor did he comment on the clinic's remark that tied the layoffs to the departures.

Five More Doctors Leave Sadler Clinic The Montgomery County Courier by Howard Roden
On August 14, 2010, The Montgomery County Courier reported that "five more physicians recently resigned from Sadler Clinic due to management changes within the Conroe-based medical system..."
The physicians, all reportedly specialists, gave the clinic 30 days notice Aug. 2, Sadler spokesman Eric Herrera said.
They have retained Chris Hanslik, of BoyarMiller, as their attorney. Earlier this year, Hanslik represented 24 physicians who either resigned or were terminated after disputes arose over Sadler Clinic's management style.

On June 3, 2010, The Montgomery County Courier reported that "twenty-four physicians resolved their disputes with Sadler Clinic this week, allowing those doctors to practice medicine in Montgomery County without any further legal challenges.
Attorneys for both sides confirmed Thursday night that an agreement in principle had been attained through mediation."
Chris Hanslik, BoyarMiller Vice Chairman and attorney for the group of physicians, was quoted in the article saying "the settlement is to the mutual satisfaction of all parties."

Doctor's Dispute with Clinic Leaves Patients in Limbo KHOU News by Andrea Lucia / 11 News
On Friday, April 16, BoyarMiller Vice Chairman Chris Hanslik was quoted in a KHOU 11 News following the feud between 24 doctors and the Sadler Clinic, a Conroe medical clinic. Three of the doctors were recently fired from Sadler Clinic; the rest resigned. They are all now facing a counter lawsuit. At issue is a contract the doctors signed years ago that could keep them from practicing medicine in Montgomery County anytime soon.

Admissibility of ESI: The Lorraine Five-Step E—Discovery Connection (The DRI Newsletter) by Chris Hanslik
The subject of admissibility of electronically stored information ("ESI") has not been explored in detail by the courts. Discovery of ESI can be very expensive; yet, practitioners have no clear guidelines as to how to ensure their ESI is admissible at trial or for summary judgment purposes-enter Lorraine v. Markel American Insurance Company. The court in Lorraine wrote a decision that could qualify as the most concise and complete exposition of admissibility analysis related to electronic evidence. The court felt it was necessary for someone to lay out the rules of admissibility of electronic evidence, because of the unique nature of ESI.

On April 12, 2010, The Montgomery County Courier ran an article following 24 physicians who filed suit against Conroe-based Sadler Clinic believing their employment contracts are unenforceable under current Texas law.
Chris Hanslik, BoyarMiller Vice Chairman and attorney for the group of physicians, was quoted in the article saying, "The reason for the lawsuit is to obtain a judicial decision, so these doctors can continue to provide medical services to their patients in the Montgomery County area."
It is the physicians' claim, Hanslik says in his filing, that their employment agreements do not contain the "required elements of an enforceable restrictive covenant for physicians."
