Representative Matters

Represented developer/purchaser in acquisition of large acreage tract in Harris County and negotiation of water and sewer service contracts to provide for water production plant, wastewater treatment plant, and related facilities to serve development of the tract.

Represented a landfill gas construction and drilling company in the sale of the business to Aperion Capital, a New York based private equity fund.

Obtained summary judgment from Supreme Court of the State of New York, Commercial Division, and affirmed by New York Appellate Division, First Department. Representing sellers of a valve distribution company in claims brought by the buyer for alleged damages and claims for indemnification based on the terms of the parties’ Stock Purchase Agreement. Sellers filed counterclaims for the amounts owed under the Stock Purchase Claims, as well as for fraud against the private equity firm that purchased the company and its principals.

Successfully represented a national accounting firm against claims brought by a departing partner. Successfully obtained a summary judgment ruling in arbitration that disposed of the departing partner’s largest claim. Following a week-long hearing, the departing partner’s remaining claims were denied in their entirety and our client was awarded recovery of all attorneys’ fees and arbitration fees incurred in the matter.

Represented a regional industrial tunneling company in sale of that business to a financial purchaser.

Represented executive bankers in state court lawsuit asserting claims for violations of non-competition agreement and breach of fiduciary duty and related week-long arbitration before the American Arbitration Association in which over $15,000,000 in damages was in controversy.

Represented a safety and compliance consulting company in high-exposure automobile death case filed by estate of decedent against multiple involved parties. Obtained a dismissal of the client from the lawsuit without payment of any damages.

Represented Midway in a collaborative partnership with Texas A&M University, among others, in connection with the financing, development and pre-leasing of phase one of an approximately 60 acre multi-phase mixed-use project in College Station, Texas known as Century Square, which, once complete, will include two full-service hotels, office, retail, restaurants, entertainment, loft apartments and more.

Preparation of restrictive covenants for master-planned mixed-use communities in Dallas-Fort Worth region, including various subordinate restrictive covenants and condominium documentations.

Ongoing representation of a Mauritius based company in connection with its international expansion strategy for distribution of specialized software for oil and gas well analysis.

Represented a Texas-based insurance agency in a sale of its assets to an international brokerage.

Represented health care system in South Texas in a lawsuit against former insurance agents for violations of the Texas Insurance Code, violations of the Texas Theft Liability Act, conversion, fraud, fraud by non-disclosure, negligent misrepresentation, and breach of contract.

Representation of Management in the purchase of certain real estate and the outstanding equity interests in an injection molding and precision machining business from a private equity owner.

Represented a South Texas-based insurance agency in connection with its sale to a major national insurance broker.

Represented a multi-location dental practice in bad faith claims against an insurance company involving loss of business income, loss of equipment and inventory, and reimbursement for continuing operating expenses and expenses in connection with moving dental practice to temporary locations.

Successfully obtained voluntary dismissal with prejudice where plaintiffs dismissed all claims against clients (while all other parties remained in the case) after filing a motion for summary judgment defending a lawsuit for tortious interference, aiding and abetting torts, breach of fiduciary duty, misappropriation, and unfair competition on behalf of two startup companies
