Represent buyers and sellers of various types of aircraft, including a: Gulfstream G700, Bombardier Global 5000 Business Jet, Hawker 800XP, Pilatus PC-12NG, Citation I SP, TBM 930, TBM 850, TBM 700, Diamond DA62, Robinson R44 Helicopter, and Robinson R22 Helicopter.

Represented a development company asserting professional negligence and breach of contract claims against an architectural firm for errors and omissions that caused significant cost overruns during the construction of a $40 million dollar multi-family development.

Represented several individuals in the negotiation of fractional ownership and “jet-card” agreements

Represented the minority owner and operator of free standing emergency centers in the sale of the membership interests to a national hospital operating company.

Represented a Houston-based de-watering company in connection with the sale of the business in a complex majority recapitalization transaction with a Houston based private equity firm.

Represented a private company in its acquisition of an oil and gas services company.

Serves as outside general counsel for a privately held MedTech company

Represented a regional industrial tunneling company in sale of that business to a financial purchaser.

Lead outside counsel for largest AT&T dealer in the U.S., in connection with acquisitions and financing activities

Representation of management in connection with the sale of an integrated manufacturer of oil field equipment, compressors and other engine driven equipment and distributor of diesel engines and spare parts to a strategic purchaser.

Represented the developer of a luxury hotel in downtown Houston in the acquisition and development of the property, including capital formation and construction financing.

Represented a Houston-based telecommunications company in connection with its acquisition of 219 telecommunications stores.

Ongoing representation of Houston based private equity fund in connection with its investment in, among other companies, a pipe and tubing company, a specialized commercial HVAC company and a trucking fleet service company. Currently, represent each of such portfolio companies in various matters and transactions.

Representation of a fire protection equipment and services business in a complete reorganization of seven of its entities and in a large financing with an international bank.

Sale of all general partnership and limited partnership interest in an asphalt, aggregates and construction materials business, transfer of related real property to excluded entities and lease of related real property to a publicly owned purchaser, including negotiation of risk mitigation provisions relating to disputed liquidated damages of the company and other matters that were to be resolved after closing.

Represented a manufacturer of frac and mud pumps utilized in the oilfield in breach of contract and fraudulent inducement action against company providing engineering and design support of equipment. Obtained a favorable settlement on behalf of client.
