Representative Matters

Represented a local company that designs, engineers and oversees the construction of hydrogen liquefaction plants in the sale of the company to a publicly traded company desiring to expand its presence in the industry. 

Represented a Houston-based real estate development company in formation and capitalization of three investment funds having raised in excess of $25 million though private offerings under Regulation D of the Securities Act of 1933.

Won a jury verdict for a homeowner against a designer she hired to provide interior design services. Although our client paid the designer for several decorative pieces, the designer failed to purchase the items and then refused to return our client’s money. The designer filed a counter-claim for the amount of money he alleged was still owed under the terms of the parties’ agreement. A unanimous jury rendered a verdict in favor of our client finding that the designer breached their agreement.

Represented a major oil and gas company in a breach of joint venture claim. The joint venture related to a fractionation facility and the joint venture partner’s failure to properly allocate funds. Two days after the opposing side answered the lawsuit filed on behalf of the client a settlement was reached which gave the client 100% of the relief requested in the petition.

Successfully defended a hospital system in a qui tam action alleging Medicare and Medicaid fraud under FCA. Representation included working with DOJ who declined to intervene and then successfully defending the underlying lawsuit against the qui tam Relator.

Represented Professional Services providers in a week-long trial in state court lawsuit involving affirmative claims and counterclaims for breach of contract and breach of fiduciary in which over $5,000,000 was in controversy.

Acquisition of the assets of a regional oil and gas collection and transportation system.

Represented purchaser of fully-leased retail center in southeast Houston

Represented the developer of master-planned communities in the purchase of raw land for residential construction.

Represented accounting firm in its divestment and acquisition of several businesses.

Represented a regional industrial tunneling company in sale of that business to a financial purchaser.

Represented major commercial and residential waste collection business and its affiliates in a large scale divestiture in the sale of substantially all of its assets, including multiple properties throughout Central Texas

Preparation of condominium declaration and related governance documents for mixed-use condominium project in the City of Houston, Texas.

Represented Core International, LLC, a Houston-based manufacturer and supplier of highly engineered rubber components and supply chain solutions, and its shareholders in a majority recapitalization by Rock Hill Capital Group.

Represented regional sponsor and developer of free standing emergency departments in connection with a consolidating restructure transaction in anticipation of a sale of the consolidated enterprise.

Wind up and exit of Norwegian public company from the business of operating offshore seismic vessels, including advice regarding settlement of multiple employment contracts.
