Representing Houston-based real estate developer in Texas state court action involving claims for breach of contract and declaratory judgment related to a retail anchor-tenant’s breach of its lease and the resulting delay in funding and construction of a sizeable mixed-use commercial retail development.

Represented purchaser of fully-leased retail center in southeast Houston

Represented the purchaser of an approximately 55,000 square foot, single-tenant facility located within the Tuscany Technology Center, a 600,000 square-foot multi-building office and industrial park development in northeast Austin, Texas.

Successfully defended a major oil and gas company against claims of tortious interference with prospective contractual relations in a case concerning a potential merger transaction. Plaintiff sought damages of approximately $65 million plus exemplary damages. However, after a week of trial plaintiffs settled for less than 5% of that amount with the client not responsible for paying any of the settlement amount.

Represented purchaser of land who, as part of joint venture, purchased undeveloped land in Laredo for construction of a large industrial facility

Sale of a hazardous and non-hazardous chemicals and waste transportation business to a private equity controlled supply chain services company.

Represented a dentist and her practice against claims by another dentistry practice for tortious interference. The plaintiff alleged the defendant tortiously interfered with a noncompetition agreement it had with another local dentist by conspiring to solicit patients in violation of the agreement. Successfully obtained an early dismissal in exchange for a nominal settlement payment.

Represented the purchaser in the $6,800,000 acquisition of a business that specializes in the manufacturing and sale of aftermarket shale shaker screens for use in the oil and gas industry.

Defended two Montgomery-area physicians against claims by their former employer. The former employer, a Conroe-area hospital, alleged the physicians breached a noncompetition and nonsolicitation agreement when they left to open their own practice. Successfully defended the physicians against the former employers efforts to obtain an injunction. The case settled soon after the court denied the former employer’s request for an injunction.

Sale of a majority interest in a business engaged in the design, manufacture, distribution of advanced controllers for recreational and commercial drones for cash and notes and collection of notes as a result of post-closing defaults by the purchaser.

Successfully represented mixed-use real estate developer in claims for breach of contract, breach of warranty and construction defect against its former general contractor involving substantial water infiltration in two luxury apartment buildings.

Represented non-profit for the development of park, open space and community facilities within the City of Houston, including construction manager at risk agreements, contractor agreements and architects agreements using AIA Contract forms and other negotiated forms, and negotiation of agreements with governmental entities related to such developments.

Representing innovative litigation finance platform in dispute pending in state district court that arose between attorney borrowers and lender over on-platform transaction, and in multi-million dollar dispute pending in commercial arbitration with lender over collapsed business relationship.

Represented a start-up hydrocarbon remediation company in connection with its formation, capitalization and international legal structuring for the purpose of international commercialization of new remediation Technology.

Represented the buyer of five (5) food franchise locations, with a purchase price of approximately $900,000. Drafted the asset purchase agreement and ancillary documents and served as the primary point of contact for the client.

After a four-day trial, obtained a jury verdict for Environmental Earth-Wise, Inc. awarding actual damages of $300,000 and recovery of $200,000 in attorneys’ fees and expenses arising from emergency environmental response and remediation services., while also obtaining a take-nothing verdict on the defendant’s counterclaims.
