Preparation of restrictive covenants for master-planned mixed-use communities in Houston, San Antonio and Dallas-Fort Worth region, including various subordinate restrictive covenants and condominium documentations.

Represent private developer in the drafting and negotiation of various agreements including restaurant, retail and office leases, food hall licenses, performance agreements, and parking agreements for a historic mixed-use center located in the Central Business District of Houston, Texas.

Represented a national distributor in a separation with a global equipment manufacturer, claiming over $1MM was owed to it by the distributor under various distributor agreements between the parties.

Represented several individuals in the negotiation of fractional ownership and “jet-card” agreements

Lead outside counsel for largest AT&T dealer in the U.S., in connection with acquisitions and financing activities

Represented an online learning management company in connection with the merger with a sales training software company.

Successfully defended both a no-evidence and a traditional motion for summary judgment moving to dismiss all claims filed by a mixed-use real estate developer against its former joint-venture partner.

Represented surgeon in negotiating a lease for an ambulatory surgical center in newly constructed medical office building

Represented a restaurant and bar in defense of a claim under the Fair Labor Standards Act. The plaintiffs were former waitresses and bartenders claiming tip pool violations. The case was settled on favorable terms to the client after minimal discovery.

Won a unanimous jury verdict of $1.3 million on behalf of two former partners of an accounting firm based on the accounting firm’s failure to pay amounts owed to the partners following their separation from the firm, including amounts owed to them for the repurchase of their shares of stock in the accounting firm.   The jury also unanimously rejected a counterclaim filed by the accounting firm in which the firm sought more than $750,000 in damages based on alleged breaches of non-compete provisions, confidentiality provisions, and buy-sell provisions of the partner’s employment agreements which would have required the former partners to pay the firm for any clients that left with the former partners.

Represented the private company in connection with a merger into and stock exchange with a publicly traded company.

Representing a world leader in premium insulation coatings against former employees and distributor for misappropriation of its confidential information and trade secrets. Successfully obtained a temporary injunction to prevent the use and/or disclose our client’s confidential insulating coating formulas and manufacturing processes.

Sale of a privately owned overhead and underground construction and maintenance services company to a private equity backed purchaser.

Ongoing representation of a regional Technology focused venture capital company in its acquisition and sale of interests in numerous portfolio companies.

Represented a Texas subsidiary of a Canadian company in seeking and securing injunctive relief against a former employee for misappropriation of trade secret claims.

Represented the owners of a horizontal boring business in partial recapitalization and debt restructure.
