Represented a commercial retail developer in formation and capitalization of multiple joint ventures.

Defended clients operating a start-up oil field services company in a lawsuit brought by an established competitor alleging claims against our clients for misappropriation of trade secrets, breach fiduciary duty, and conspiracy and seeking to completely shut down our client’s business. After a six day temporary injunction trial, the lawsuit settled on terms that allowed our clients to continue their business in competition with former employer.

Routinely represented a national bank in many aspects of creditor rights law, including the enforcement of loan documents and collection claims.

Represented company asserting claims against former CEO and majority shareholder for breaches of fiduciary duties, fraud, and breach of contract.

Sale of a privately owned overhead and underground construction and maintenance services company to a private equity backed purchaser.

Represented the purchaser of an Eclipse EA-500 jet aircraft for $850,000.

Represented a company defending claims asserted against it by a shareholder for access to books and records under the Texas Business Organizations Code.

Represented supplier of oilfield steel for use in the oil and gas industry in a lawsuit brought by a competitor alleging a former employee provided our client (his new employer) with confidential customer lists, vendor contact information and sales data owned by his former employer.

Represented the purchaser of a multi-tenant retail center located in the Energy Corridor, Houston, Texas.

Represented an Arizona-based traffic solutions company in connection with $60 million equity raise through sale of preferred stock to major investment banking firm.

Represented surgeon in negotiating a lease for an ambulatory surgical center in newly constructed medical office building

Represented purchaser of approximately 17.8 acres of land in Harris County for industrial development, which included securing construction financing

Sale of substantially all of the assets of a company engaged in the business of placing and servicing insurance products and related services

Represent private developer in the development and sale of retail shopping center including negotiation and drafting of contracts for sale of improved and unimproved commercial parcels, reciprocal access easements and cost-sharing agreements and incentive agreements with municipalities.

Represented the seller of all stock in a electrical process heater corporation in a two tranche closing, with the first closing valued at approximately $25,000,000 and the second closing value being determined in 2021 based on a multiple of the company’s EBITDA. Drafted the disclosure schedules, restrictive covenant agreements, corporate consents, secretary certificates and funds flow spreadsheet.
