Represented Blackhawk Specialty Tools, LLC, an oilfield services company headquartered in Houma, Louisiana, in connection with a private equity investment made by Rock Hill Capital Group.

Sale of a controlling interest in a company engaged in the business of construction and maintenance services for overhead and underground electrical distribution systems for utilities, regional co-ops, local municipalities and industrial customers, including a pre-sale “F” reorganization.

Negotiation of Chapter 380 and development and reimbursement agreements with various utility districts and private water and wastewater service providers.

Sale of all general partnership and limited partnership interest in an asphalt, aggregates and construction materials business, transfer of related real property to excluded entities and lease of related real property to a publicly owned purchaser, including negotiation of risk mitigation provisions relating to disputed liquidated damages of the company and other matters that were to be resolved after closing.

Wind up and exit of Norwegian public company from the business of operating offshore seismic vessels, including advice regarding settlement of multiple employment contracts.

A resolution was obtained shortly after filing a lawsuit seeking a temporary restraining order, temporary injunction, and permanent injunction.

Represented national wholesaler of products and services for the multi-family apartment industry in it’s multi-year serial acquisition and expansion strategy, ultimately leading to the acquisition of the Company by a multi-national publicly traded company.

Represented affiliated seller entities in the sale of a fabrication and millwork business to a subsidiary of a publicly traded strategic buyer.

Successfully negotiated seven-figure settlement in construction dispute in favor of clients

Private placement of debt and equity securities for a manufacturer of wastewater processing equipment and developer of facilities to convert municipal waste water biosolids into a renewable energy source.

Represented the City of Austin in the acquisition of a golf course for municipal use.

Represented employees in lawsuits against former employers based on employer’s refusal to pay past due compensation or to honor obligations under employment agreements and/or severance agreements.

Represented a Houston-based restaurant business in its reorganization and restructuring.

Representation of foreign investors in the acquisition of outstanding minority interests in a proprietary pipe coating joint venture including negotiation of access rights over adjacent real property and licensing agreements for proprietary Technology.
