Successfully defended a major oil and gas company against claims of tortious interference with prospective contractual relations in a case concerning a potential merger transaction. Plaintiff sought damages of approximately $65 million plus exemplary damages. However, after a week of trial plaintiffs settled for less than 5% of that amount with the client not responsible for paying any of the settlement amount.

Represent national homebuilders in the negotiation and drafting of documents for the acquisition and development of undeveloped acreage and developed lots for master planned communities in the Houston, Dallas-Fort Worth, Austin and San Antonio market areas, including drafting and negotiation of contracts, easements, development and financing agreements, escrow and cost-sharing agreements for regional improvements between owners, and subdivision restrictions and property owners association formation.

Represented a safety and compliance consulting company in high-exposure automobile death case filed by estate of decedent against multiple involved parties. Obtained a dismissal of the client from the lawsuit without payment of any damages.

Sale of certain assets related to design, manufacture and sale of water treatment products and operation of water treatment services for the oil and gas industry.

Represented several individuals in the negotiation of fractional ownership and “jet-card” agreements

Restructure and capitalization of a direct to consumer supplier of beef, poultry and sea food using a combination of new equity and warrant supported debt.

Won an arbitration award on behalf of a custom home builder after home builder’s services were terminated and home builder was not paid sums owed under the contract and change orders. The home owner asserted claims relating to alleged defective construction. After a week-long arbitration hearing, the Arbitration Panel awarded our client all damages sought, attorney’s fees, and arbitration costs, and denied all claims asserted by the home owner.

Preparation of restrictive covenants for master-planned mixed-use communities in Houston, San Antonio and Dallas-Fort Worth region, including various subordinate restrictive covenants and condominium documentations.

Represented a private equity partner and asset manager in the formation of various private equity funds and creation of a novel online investor portal designed to bring private equity investments into the mainstream.

Represented regional sponsor and developer of free standing emergency departments in connection with a consolidating restructure transaction in anticipation of a sale of the consolidated enterprise.

Represented Core International, LLC, a Houston-based manufacturer and supplier of highly engineered rubber components and supply chain solutions, and its shareholders in a majority recapitalization by Rock Hill Capital Group.

Represented a financial services provider with formation of a hedge fund.

Won a bench trial for a manufacturing company against a national accountant placement agency. The client sued when it discovered that the controller it hired from the agency had a criminal record relating to theft by hot check. The agency refused to refund the placement fee. The verdict included a violation of the Texas Deceptive Trade Practices Act resulting in the client receiving a doubling of its damages and the recovery of attorney’s fees.

Restructure of corporate documents and private placement of subordinated notes and warrants in connection with bridge financing for a manufacturer of access control equipment

Sale of all general partnership and limited partnership interest in an asphalt, aggregates and construction materials business, transfer of related real property to excluded entities and lease of related real property to a publicly owned purchaser, including negotiation of risk mitigation provisions relating to disputed liquidated damages of the company and other matters that were to be resolved after closing.

Represented a collision repair business in its sale to a national private equity firm as part of their initial platform acquisition.
