Representative Matters

Defended two Montgomery-area physicians against claims by their former employer. The former employer, a Conroe-area hospital, alleged the physicians breached a noncompetition and nonsolicitation agreement when they left to work for another hospital. Successfully obtained a summary judgment that the physician noncompetition agreements were not enforceable because they did not contain a clause related to the continuing care of patients with acute illnesses. The case settled soon after the court granted the physicians motion for summary judgment.

Represented a landfill gas construction and drilling company in the sale of the business to Aperion Capital, a New York based private equity fund.

Successfully obtained voluntary dismissal with prejudice where plaintiffs dismissed all claims against clients (while all other parties remained in the case) after filing a motion for summary judgment defending a lawsuit for tortious interference, aiding and abetting torts, breach of fiduciary duty, misappropriation, and unfair competition on behalf of two startup companies

Represented med-tech company in negotiating a lease for buildout of a facility, which included clean rooms

Lead counsel in connection with the entity formation, capital formation and organization of multiple private equity fund-to-funds

Obtained preliminary injunction prohibiting defendant from infringing on client’s trade dress and using client’s trade secrets in breach of contract, misappropriation of trade secrets and intellectual property infringement case pending in Federal Court

Preparation of restrictive covenants for master-planned mixed-use communities in Houston, San Antonio and Dallas-Fort Worth region, including various subordinate restrictive covenants and condominium documentations.

Won a jury verdict for a homeowner against a designer she hired to provide interior design services. Although our client paid the designer for several decorative pieces, the designer failed to purchase the items and then refused to return our client’s money. The designer filed a counter-claim for the amount of money he alleged was still owed under the terms of the parties’ agreement. A unanimous jury rendered a verdict in favor of our client finding that the designer breached their agreement.

Acquisition of the assets of a regional oil and gas collection and transportation system.

Representing a world leader in premium insulation coatings against former employees and distributor for misappropriation of its confidential information and trade secrets. Successfully obtained a temporary injunction to prevent the use and/or disclose our client’s confidential insulating coating formulas and manufacturing processes.

Restructure and sale of a toll processing, cut to length and polishing business with locations in five states to a leading value-added industrial metals processor and distributor.

Represented a Houston-based industrial tank cleaning business in connection with a $13 million refinance transaction with a senior commercial lender. Represented same company in a later $60 million majority recapitalization transaction with a St. Louis based private equity firm.

Represented a Houston-based fuel distributor in connection with its majority ownership recapitalization.

Sale of substantially all of the assets, inventory and real property of a used commercial vehicle business for cash and a secured promissory note.

Represented the owners of a horizontal boring business in partial recapitalization and debt restructure.

Represented a world leader in premium insulation coatings against a former distributor based on claims for breach of a written distributor agreement, as well as claims for breach of oral agreements or, alternatively, quasi-contractual claims such as promissory estoppel and unjust enrichment. Following written discovery and depositions of the named parties, certain third-parties, and experts, both parties moved for summary judgment we moved on all of plaintiff’s claims and plaintiff moved solely on liability for its contractual claims. With the summary judgment motions pending, the matter settled on confidential terms.
