Represented seller in negotiating an asset sale for $10 million.

Represented of national home builder in the acquisition of an approximately acreage tract of land in Harris County for development as a residential subdivision community, and negotiation of associated conveyance documents, land bank documents, development agreements with adjacent land developer, and financing and reimbursement agreements with the Municipal Utility District.

Represented Core International, LLC, a Houston-based manufacturer and supplier of highly engineered rubber components and supply chain solutions, and its shareholders in a majority recapitalization by Rock Hill Capital Group.

Represented developer in connection with construction, development, ground leasing, leasing and management of medical office buildings.

Represented accounting firm in its divestment and acquisition of several businesses.

Majority recapitalization of a monitored security business by a private equity controlled invetor

Successfully represented a national accounting firm against claims brought by a departing partner. Successfully obtained a summary judgment ruling in arbitration that disposed of the departing partner’s largest claim. Following a week-long hearing, the departing partner’s remaining claims were denied in their entirety and our client was awarded recovery of all attorneys’ fees and arbitration fees incurred in the matter.

Represented an online learning management company in connection with the merger with a sales training software company.

Represented a multi-location dental practice in bad faith claims against an insurance company involving loss of business income, loss of equipment and inventory, and reimbursement for continuing operating expenses and expenses in connection with moving dental practice to temporary locations.

Represented the owner of two retail stores in a dispute with an international textile distributor. The textile distributor has claimed a partnership interest in the retail stores and has sued for damages for alleged breach of contract and various business-related torts.

Represented a local company that designs, engineers and oversees the construction of hydrogen liquefaction plants in the sale of the company to a publicly traded company desiring to expand its presence in the industry. 

Serves as outside general counsel for a privately held MedTech company

Won a unanimous decision from the Texas Supreme Court on behalf of a major water bottling company in a dispute against land owners concerning the alleged drainage of an aquifer. The trial court granted a summary judgment at the lower court level, rejecting plaintiff’s attempt to obtain an injunction to halt the production of spring water from client’s largest water source.

Lead outside counsel for real estate and private equity investments for a large single-family office

Represented group of employees in week-long arbitration seeking recovery of unpaid bonuses, commissions, and severance payments in which approximately $1,000,000 was in controversy.

Private placement of debt and equity securities to provide growth capital for a manufacturer of waste water processing equipment and developer of waste to energy processing facilities.
