Represented mobile phone company in connection with a $60 million senior secured credit facility with PNC bank

Represented a large residential development and home-building company in the  development of a 3,000 acre mixed-use residential and commercial subdivision in Ft. Bend County, Texas.

Obtained a restraining order and, ultimately, a permanent injunction for copyright and trade dress infringement on behalf of the largest manufacturer of digital game feeder timers. Case brought against client’s former customer who was improperly selling an identical product at an industry trade show.

Represented Emerus Hospital Partners in connection with a $30 million private equity investment by Austin Ventures.

Represented an international distributor of petrochemical decontamination products in the termination of an employee who had misappropriated proprietary and trade secret information, shared that information with a competitor, and attempted to divert ongoing customer relationships from the company. Counsel from Houston, Italy, Qatar, and Thailand worked together to draft termination documents to the employee and notice letters regarding post-employment obligations to the competitors and customers which complied with relevant laws in all four countries.

Represented a large regional health system in connection with the acquisition of a hospital for $67 million.

Represented a large residential development and home-building company in the development of approximately 300 acre residential subdivision in Fort Bend County/Hwy 288 area.

Represented the buyer in the purchase of several tracts of land in Polk County, Texas. Responsible for the review of due diligence materials and surveys, drafting of corporate consents, closing statement and other closing documents, and handling the closing.

Represented a national property management company in an EEOC proceeding brought by former employee claiming that the termination of her employment was race and gender discrimination. This proceeding arose out of events that occurred outside of the workplace during the company’s holiday party.

Obtained summary judgment on behalf of service center for the mentally handicapped for claims brought by the plaintiff that violated both Texas and Federal laws

Represented a national retailer in connection with a $280 million credit facility secured by borrower-owned locations.

Obtained favorable judgment from intermediate court of appeals, which affirmed a summary judgment denying a homeowner’s challenge to its mortgagee’s entitlement to fire insurance policy proceeds.

Represented an executive of a large corporation in connection with his employment relationship with his employer.

Ongoing representation of Houston based private equity fund in connection with its investment in, among other companies, a pipe and tubing company, a specialized commercial HVAC company and a trucking fleet service company. Currently, represent each of such portfolio companies in various matters and transactions.

Represented Temporary Administrator in multi-million dollar will contest involving multiple gifts to Houston based charitable organizations and museums.

Won an arbitration award on behalf of a custom home builder against its customer for breaching the construction contract and wrongfully withholding draw payments. After a week-long arbitration hearing, the client was awarded its past due draws, attorney’s fees and arbitration costs.
