Represented S-Corporation in conducting a reverse stock split.

Obtained a temporary restraining order enjoining two former employees from doing business under a substantially similar business name as that of their former employer as well as from using their former employer’s confidential information. Two defecting, former employees formed a competing company selling power-generation equipment to both commercial and industrial clients. Prior to filing suit, conducted an electronic, forensic review of the former employees computers, and discovered evidence of theft of confidential information. This evidence was subsequently used at the emergency hearing. The case was successfully settled within a month of obtaining the emergency relief.

Represent buyers and sellers of various types of aircraft, including a: Gulfstream G700, Bombardier Global 5000 Business Jet, Hawker 800XP, Pilatus PC-12NG, Citation I SP, TBM 930, TBM 850, TBM 700, Diamond DA62, Robinson R44 Helicopter, and Robinson R22 Helicopter.

Represented the developer of 200,000+ sq ft office building in the development, construction, and leasing phases, including a lease to a Fortune 100 company for their operations center.

Defended audit and accounting firm and employee in arbitration over alleged violations of restrictive covenants and misappropriation of trade secrets. Won pivotal discovery motion and claimant voluntarily dismissed case before summary judgment.

Represented purchaser of approximately 17.8 acres of land in Harris County for industrial development, which included securing construction financing

Ongoing representation of a computer network management and consulting and telecommunications company in connection with strategy to build a shared telecommunications superstructure for smaller rural telecommunications companies to compete with the majors in delivering 4G wireless telecommunications services to customers.

Lead counsel for Blackline Partner in connection with the formation of a joint venture with Artemis Real Estate to develop the Blackline Cold Storage facility

Serves as outside general counsel for a privately held pool and water maintenance service provider serving the gulf coast

Represented several entities in connection with their conversions and migratory mergers from California to Texas, and from various other states to Texas

Represented a refinery service contractor in a multi-million dollar lawsuit involving claims arising out of the refinery’s refusal to pay for services and counterclaims by the refinery relating to alleged breaches of safety procedures. Within five months of filing lawsuit and shortly after the filing of a pre-discovery, summary judgment motion asserting immediate right to payment, the matter was successfully resolved.

Lead counsel in connection with the acquisition of Amtel Partners and six add-on acquisitions of other T-Mobile dealers 

Ongoing representation of a regional Technology focused venture capital company in its acquisition and sale of interests in numerous portfolio companies.

Represented a Houston-based hydraulic generator manufacturer in the sale of its equity interests to a private equity group for approximately $10 million, including equity interests in the acquiring company.

Acquisition of the assets of a regional oil and gas collection and transportation system.

Represented the seller in the $13,500,000 acquisition of a business specializing in providing wireless broadband and internet services.
