Represented certain partners of a Texas-based insulated panel manufacturer in the sale of their partnership interests to minority partner.

Represented a direct-to-the-installer automotive parts supplier in the recapitalization and sale of 80% of its interest to a Japanese global conglomerate. The total transaction value was $180 million.

Represented a Texas-based company in its operation of emergency room facilities across the state, including the acquisition of the real estate, development of facilities, strategic corporate formation and joint venture transactions with national hospital systems.

Represented retail, office, multifamily and hospitality borrowers in acquisition financing and refinancing of existing properties across Texas and the United States in conduit lending transactions ranging from US $2 million to over US $125 million.

Ongoing representation of a Mauritius based company in connection with its international expansion strategy for distribution of specialized software for oil and gas well analysis.

Represented the purchaser of an approximately 55,000 square foot, single-tenant facility located within the Tuscany Technology Center, a 600,000 square-foot multi-building office and industrial park development in northeast Austin, Texas.

Restructure of subchapter S corporations and separation of operating assets from real property assets of a cut to length and steel processing business in anticipation of going to market with the sale of the operating business.

Represent homebuilders and developers in planning and drafting subdivision restrictions and related property owners association documents for master planned communities, including residential, commercial, multi-family and mixed-use components.

Representing employers in various industries relating to the development of policies and procedures for determining contractor/employee classification and exempt/non-exempt employee classification.

Won a summary judgment that certain individuals lacked standing to sue a broker-dealer for investments made by entities owned and/or controlled by those individuals. The individuals claimed that they had a beneficial interest in the entities, but the court held that only the entities who purchased the securities could sue.

Represent private developer in the drafting and negotiation of various agreements including restaurant, retail and office leases, food hall licenses, performance agreements, and parking agreements for a historic mixed-use center located in the Central Business District of Houston, Texas.

Represented the borrower in a $48 million refinancing of a mixed-use office building.

Represented foreign investors in the acquisition of outstanding minority interests in a proprietary pipe coating joint venture including negotiation of access rights over adjacent real property and licensing agreements for proprietary technology.

Represented a safety and compliance consulting company in high-exposure automobile death case filed by estate of decedent against multiple involved parties. Obtained a dismissal of the client from the lawsuit without payment of any damages.

Obtained multiple defense verdicts in favor of numerous Texas grocery store chains in actions against the State of Texas for violations of contracts to deliver food services under the Woman Infants and Children’s Program in Texas.

Won a summary judgment on behalf of a regional shopping mall owner on its breach of contract claims against a delinquent tenant.  We were also able to obtain individual liability via summary judgment against the tenant’s former President who entered into contractual agreements with our client following the secret dissolution of the company.
