Represented clients in all types of contested probate, trust and fiduciary litigation through trial, summary judgment, and mediation.

On behalf of a Houston-based chemical distributor, successfully negotiated an early-case resolution of a lawsuit brought by former business development manager and minority equity owner in dispute regarding valuation and buyout of ownership interest.

Ongoing representation of largest family-owned homebuilder located in Houston with over 140 communities in Texas and Florida in land acquisitions, joint venture structuring and negotiations, MUD agreements, and related joint development agreements.

Won a unanimous decision from the Texas Supreme Court on behalf of a major water bottling company in a dispute against land owners concerning the alleged drainage of an aquifer. The trial court granted a summary judgment at the lower court level, rejecting plaintiff’s attempt to obtain an injunction to halt the production of spring water from client’s largest water source.

Successfully defended a major oil and gas company against claims of tortious interference with prospective contractual relations in a case concerning a potential merger transaction. Plaintiff sought damages of approximately $65 million plus exemplary damages. However, after a week of trial plaintiffs settled for less than 5% of that amount with the client not responsible for paying any of the settlement amount.

Representation of a retail developer specializing in adaptive reuse, including a joint venture with the economic development corporation of a Texas municipality to revitalize its downtown.

Represented the owner of two retail stores in a dispute with an international textile distributor. The textile distributor has claimed a partnership interest in the retail stores and has sued for damages for alleged breach of contract and various business-related torts.

Representation of the minority owners and operators of a multi-location fast casual food franchise in the transfer of majority ownership from one private equity owner to another private equity owner and the restructure of operating lines of credit.

Successfully obtained partial summary judgment on behalf of restaurateurs on claims for breach of fiduciary duty/usurpation of a partnership opportunity and oppression claim filed by restaurateurs’ partners. Subsequently obtained a second partial summary judgment with the court declaring a “Right to Participate” clause contained in the partnership’s operating amendment was invalid. The summary judgments gutted the plaintiffs’ claims and led to a favorable settlement for our clients.

Represented various landlords and real estate developers in the negotiation of office and retail leases with national chains and local tenants.

Representation of an industrial developer on multiple acquisitions, financings, leasing, and sale across Texas and the Southeast United States.

Represented a Texas based environmental and industrial waste services business in the $51,000,000 sale to a strategic private equity backed buyer, along with the negotiation of the post-closing rollover equity and founder compensation package.

Successfully obtained voluntary dismissal with prejudice where plaintiffs dismissed all claims against clients (while all other parties remained in the case) after filing a motion for summary judgment defending a lawsuit for tortious interference, aiding and abetting torts, breach of fiduciary duty, misappropriation, and unfair competition on behalf of two startup companies

Represented a client that provides offshore mooring systems for the energy industry in the acquisition of the equity of a provider of anchoring and mooring solutions and its subsidiaries. The complex cross-border transaction involved the acquisition of assets located on and entities domiciled in at least twelve different countries and negotiations of definitive agreements with legal counsel in Norway.

Represent owners of high-end bars and lounges in connection with private equity raises and joint venture negotiations
