Represented a manufacturer of large industrial equipment in an EEOC proceeding brought by an employee claiming the termination of his employment was national origin discrimination. The matter involved the employer’s decision to convert the employee’s pay structure from hourly to salary resulting in the potential for employees to make less money when overtime was factored into the hourly rate.

Cost sharing aircraft arrangements including joint ownership, dry lease, time share, and interchange arrangements

Represented Kanaly Trust in the sale of the company to private equity firm Lovell Minnick Partners.

Represented an international investment group formed by Houston-based developer in the acquisition, redevelopment, financing and sale of the 200-acre office park in Northwest Houston, and conversion to mixed-use residential and commercial master-planned project.

Represented the existing entity in an equity investment and reorganization in conjunction with a $20,000,000 loan commitment from a private equity investor into a business specializing in the purchase, sale and rent-to-own of residential storage buildings, carports, gazebos and other manufactured structures.

Advised oil and gas producer client in connection with dispute about joint operating agreement, resulting in successful appeal before the Texas Fourteenth Court of Appeals. Critical to the success of the case was a well-reasoned interpretation of the AMI (“Area of Mutual Interest”) provision of the parties’ Joint Operating Agreement.

Represented developer/purchaser of large acreage tract in Bexar County (San Antonio area) in acquisition and negotiation of development agreements with adjacent owners and San Antonio Water Systems (SAWS) for provision of utility service.

Represented a technology development company in a 3-part transaction, including the sale of specific intellectual property assets to a one buyer, distributing stock of an affiliate to its members and in the sale of all of the company’s remaining assets to a portfolio company of a private equity fund.
