Representative Matters

Transfer of ownership interests in multiple related entities and and jointly owned insurance policies relating to a construction business in settlement of disputes between the business’s owners.

Represent national homebuilders in the negotiation and drafting of documents for the acquisition and development of undeveloped acreage and developed lots for master planned communities in the Houston, Dallas-Fort Worth, Austin and San Antonio market areas, including drafting and negotiation of contracts, easements, development and financing agreements, escrow and cost-sharing agreements for regional improvements between owners, and subdivision restrictions and property owners association formation.

Successfully obtained a preliminary injunction on behalf of a franchisor against a franchisee in a lawsuit involving claims for trademark infringement and franchise termination

Represented a Houston-based restauranteur in the strategic acquisition of a café and bakery concept.

Represented environmental remediation business and its founding shareholder as lead counsel in the sale of the business to a private equity backed strategic acquiror as an add-on acquisition, navigating immigration, environmental, tax, contracting, and pre-closing reorg issues.

Represented Core International, LLC, a Houston-based manufacturer and supplier of highly engineered rubber components and supply chain solutions, and its shareholders in a majority recapitalization by Rock Hill Capital Group.

Preparation of condominium declaration and related governance documents for mixed-use condominium project in the City of Houston, Texas.

Served as lead merger and acquisition counsel for Disa Global Solutions, Inc., a third-party administrator providing safety and compliance solutions for all industries, from 2016 through 2022, at which time it was sold to a major private equity company out of Boston, Massachusetts.  Represented Disa in the closing of between 10-15 acquisition transactions a year.

Represented a company defending claims asserted against it by a shareholder for access to books and records under the Texas Business Organizations Code.

Represented affiliated seller entities in the sale of a fabrication and millwork business to a subsidiary of a publicly traded strategic buyer.

Represented owners of two closely held corporations in companies’ stock sale for approximately $50 million.

Lead outside counsel for largest AT&T dealer in the U.S., in connection with acquisitions and financing activities

Represented the owner of a historic hotel in San Antonio in connection with joint venture restructuring and the reorganization of hotel management

Represented health care system in South Texas in a lawsuit against former insurance agents for violations of the Texas Insurance Code, violations of the Texas Theft Liability Act, conversion, fraud, fraud by non-disclosure, negligent misrepresentation, and breach of contract.

Represented refinery services company that sells proprietary products and services to petroleum and chemical refineries globally in a lawsuit against a group of contractors that misappropriated our client’s proprietary products and services. After successfully securing discovery from refineries in foreign countries confirming the facts supporting our client’s claims, the matter settled with our client receiving every dollar of lost sales and effectively ending the former contractor’s attempts to establish a competing company.

Successfully defended a restaurant group in a lawsuit brought by a former employee claiming sexual harassment based on allegations that manager made sexual advances towards the employee and sent sexually explicit photographs to the employee. The lawsuit centered almost entirely on alleged conduct that occurred outside the workplace during non-working hours and presented unique issues relating to the employer’s affirmative defense under the Faragher/Ellerth line of cases.
