Represented Houston based construction company in its $8 million finance transaction with Woodforest Bank

Represented developer in connection with construction, development, ground leasing, leasing and management of medical office buildings.

Sale of all of a business engaged in servicing and supplying the wholesale HVAC, welding supply and plumbing supply markets with bulk and cylinder gases and supplies for cash and notes.

Represented a manufacturer of frac and mud pumps utilized in the oilfield in breach of contract and fraudulent inducement action against company providing engineering and design support of equipment. Obtained a favorable settlement on behalf of client.

Representation of the founder and owner of a steel processing facility in the sale of substantially all of the assets of the business and lease of the related real property to a national steel distribution company.

Obtained preliminary injunction prohibiting defendant from infringing on client’s trade dress and using client’s trade secrets in breach of contract, misappropriation of trade secrets and intellectual property infringement case pending in Federal Court

Represented Integra Realty Resources Houston (a real estate appraisal and services company) in the sale of its business to Jones Lang LaSalle (JLL).

Successfully negotiated resolution of complex, multi-million dollar dispute involving production of steel rig kits for use in offshore jack-up drilling rig application between an overseas steel mill, Houston-based steel fabricator, and offshore drilling systems provider in Mississippi.

Represented the seller of twenty-seven (27) franchises and locations of a national burger fast food restaurant with a purchase price of approximately $65,000,000. Active in day-to-day management of the transaction, drafting of the asset purchase agreement and other ancillary documents, reviewing and responding to the objections to the title commitment and responsible for obtaining all landlord consents and estoppel certificates.

Represented a major regional health care system in the disposition of a 138-unit retirement and health care center.

Preparation of condominium declaration and related governance documents for mixed-use condominium project in the City of Houston, Texas.

Represented a Texas subsidiary of a Canadian company in seeking and securing injunctive relief against a former employee for misappropriation of trade secret claims.

Represented the buyer of five (5) food franchise locations, with a purchase price of approximately $900,000. Drafted the asset purchase agreement and ancillary documents and served as the primary point of contact for the client.
