Represented seller conveying 135 acres of land to major US homebuilder for development in Montgomery County, Texas

Represented client in $40 million commercial real estate transaction, including the structuring of the transaction from development stages and financing through completion

Representation of the founder and owner of a steel processing facility in the sale of substantially all of the assets of the business and lease of the related real property to a national steel distribution company.

Represented an affiliate entity of client in connection with the acquisition of 110 platted, but undeveloped lots located in Huffman, Harris County, Texas.

Reorganization and sale of six related entities engaged in the manufacture, importation, distribution and sale of scaffolding, seating and shoring equipment and supplies and environmental services, including loss mitigation of legacy tax obligations and compliance issues.

Represented a national home builder in the acquisition of an approximately 80-acre tract of land in Harris County for development as a residential subdivision community, and negotiation of associated conveyance documents, land bank documents, development agreements with adjacent land developer, and financing and reimbursement agreements with the Municipal Utility District.

Represented Houston based commercial landscape service provider in the $15,000,000 equity sale to a private equity backed serial acquirer, along with the pre-closing Internal Revenue Code F-Reorganization of the Company

Settled a fraud and RICO dispute on behalf of a small gas marketing company in a case brought by the majority owner of a gas trading company. Plaintiff originally sought in excess of $70 million in damages, alleging fraudulent gas trading and financial derivative transactions, but settled on very favorable terms for client prior to trial.

Sale of a privately owned overhead and underground construction and maintenance services company to a private equity backed purchaser.

Represented executive and equipment manufacturer in multi-day injunction trial in state court lawsuit asserting claims for for breach of non-compete agreement and misappropriation of trade secrets.  

Represented the seller in the $50,000,000 acquisition of a business specializing in providing nitrogen gas and other related services to customers in the oil and gas industry.

Representation of transportation authority on the drafting and negotiation of lease to local governmental corporation and related agreements of approximately 30 miles of rail-banked corridor for purposes of development of trail system.

Represented a Houston-based restauranteur in the strategic acquisition of a café and bakery concept.
