Restructure and capitalization of a direct to consumer supplier of beef, poultry and sea food using a combination of new equity and warrant supported debt.

Successfully defended a hospital system in a qui tam action alleging Medicare and Medicaid fraud under FCA. Representation included working with DOJ who declined to intervene and then successfully defending the underlying lawsuit against the qui tam Relator.

Represented several large corporations and individuals in matters involving various contractual and business tort disputes, including fraud, misrepresentation, breach of fiduciary duty, and breach of contract claims through trial, summary judgment, and mediation.

Represented a Houston-based de-watering company in connection with the sale of the business in a complex majority recapitalization transaction with a Houston based private equity firm.

Private placement of debt and equity securities for a manufacturer of wastewater processing equipment and developer of facilities to convert municipal waste water biosolids into a renewable energy source.

Represented developer in drafting of subdivision restrictions and related property owner association governance documents for mixed-use project in Frisco, Texas.

Represented a Houston-based dark/lit fiber network company in connection with a sizable capital raise from private equity for an enormous project involving the engineering and laying of a fiber network to connect 800 + schools located in a major city in the Midwest United States.

Represented of national home builder in the acquisition of an approximately acreage tract of land in Harris County for development as a residential subdivision community, and negotiation of associated conveyance documents, land bank documents, development agreements with adjacent land developer, and financing and reimbursement agreements with the Municipal Utility District.

Represented Sandbox Enterprises, LLC (a proppant delivery solution product and services company) in its sale to U.S. Silica for a purchase price in excess of $230 million.

Represented the buyer of a local residential remodeling business. Responsible for the transaction from inception to close, including the drafting of all documents and negotiation with the seller.

Majority recapitalization of a monitored security business by a private equity-controlled investor

Represented non-profit developer in development agreement and long term ground lease with City of Houston for development of Midtown Arts and Theater Center Houston (“MATCH”), a 1-block theater and flex space facility for visual and performing arts, and related office and rehearsal space for rent to emerging non-profit arts groups, including a multi-year grant agreement with Houston First Corporation, tax rebate agreement with City of Houston and adjacent for-profit developer, long-term parking easement in adjacent developer’s parking garage, and representation on construction contract issues.

Represented an international scaffolding and staging supplier in its sale to a Dallas-based private equity firm.

Represented major commercial and residential waste collection business and its affiliates in a large scale divestiture in the sale of substantially all of its assets, including multiple properties throughout Central Texas

Represented industrial developer in the acquisition and development of land for build-to-suit and spec industrial and distribution facilities, and related leasing.

Successfully briefed and defended against motion for summary judgment on plaintiff and client’s affirmative claims in Delaware Superior Court on behalf of IT/telecommunications client. Plaintiff’s summary judgment motion was denied in its entirety, resulting in the case settling favorably on the eve of trial
