Represented an Arizona-based traffic solutions company in connection with $60 million equity raise through sale of preferred stock to major investment banking firm.

Represented a Houston-based chemical company in connection with the negotiation of its sale to a private equity backed buyer.

Settled a fraud and RICO dispute on behalf of a small gas marketing company in a case brought by the majority owner of a gas trading company. Plaintiff originally sought in excess of $70 million in damages, alleging fraudulent gas trading and financial derivative transactions, but settled on very favorable terms for client prior to trial.

Represented a local company that designs, engineers and oversees the construction of hydrogen liquefaction plants in the sale of the company to a publicly traded company desiring to expand its presence in the industry. 

Represented affiliated seller entities in the sale of an industrial waste and environmental services business to a strategic buyer with rollover equity and other purchase price consideration in excess of $50 million through a series of complex transactions.

Represented the borrower in a senior loan comprised of an $11,300,000 term loan and a revolving loan not to exceed $2,000,000 as well as a subordinated non-revolving $5,000,000 loan by a national veterinary medical service provider.

Represent homebuilders and developers in planning and drafting subdivision restrictions and related property owners association documents for master planned communities, including residential, commercial, multi-family and mixed-use components.

Represented seller in negotiating an asset sale for $10 million.

Represent private developer in the drafting and negotiation of various agreements including restaurant, retail and office leases, food hall licenses, performance agreements, and parking agreements for a historic mixed-use center located in the Central Business District of Houston, Texas.

Represent private developer in connection with the acquisition and financing of office building in Houston, Texas.

Represented affiliated seller entities in the sale of a fabrication and millwork business to a subsidiary of a publicly traded strategic buyer.

Represented major commercial and residential waste collection business and its affiliates in a large scale divestiture in the sale of substantially all of its assets, including multiple properties throughout Central Texas

Represented a Houston-based hydraulic generator manufacturer in the sale of its equity interests to a private equity group for approximately $10 million, including equity interests in the acquiring company.

Lead counsel in connection with the recapitalization of the company in joint venture with Almanac Realty and lead outside counsel for subsequent acquisition, development and financing transactions

Ongoing representation of Houston based private equity fund in connection with its investment in, among other companies, a pipe and tubing company, a specialized commercial HVAC company and a trucking fleet service company. Currently, represent each of such portfolio companies in various matters and transactions.

Won a unanimous jury verdict for one of Houston’s oldest title Insurance Agencies in a dispute with its landlord for breaching an exclusive use clause in the client’s lease. After a week in trial, the jury awarded the client a judgment for its damages, including attorney’s fees.
