Represented purchaser of approximately 17.8 acres of land in Harris County for industrial development, which included securing construction financing

Represented non-profit developer in development agreement and long term ground lease with City of Houston for development of Midtown Arts and Theater Center Houston (“MATCH”), a 1-block theater and flex space facility for visual and performing arts, and related office and rehearsal space for rent to emerging non-profit arts groups, including a multi-year grant agreement with Houston First Corporation, tax rebate agreement with City of Houston and adjacent for-profit developer, long-term parking easement in adjacent developer’s parking garage, and representation on construction contract issues.

Sale of substantially all of the assets of a company engaged in the business of placing and servicing insurance products and related services

Represented industrial developer in the acquisition and development of land for build-to-suit and spec industrial and distribution facilities, and related leasing.

Represented developer/purchaser in acquisition of 300+ acres in Harris County ($6MM) and negotiation of water and sewer service contracts.

Representation of a fire protection equipment and services business in a complete reorganization of seven of its entities and in a large financing with an international bank.

Representation of the developer of a multi-phase, mixed-use, urban infill development in the negotiation of the underlying development services agreement and the negotiation of a long-term lease agreement with a regional grocer as the key tenant for the first phase.

Reorganization and sale of six related entities engaged in the manufacture, importation, distribution and sale of scaffolding, seating and shoring equipment and supplies and environmental services, including loss mitigation of legacy tax obligations and compliance issues.

Successfully obtained partial summary judgment on behalf of restaurateurs on claims for breach of fiduciary duty/usurpation of a partnership opportunity and oppression claim filed by restaurateurs’ partners. Subsequently obtained a second partial summary judgment with the court declaring a “Right to Participate” clause contained in the partnership’s operating amendment was invalid. The summary judgments gutted the plaintiffs’ claims and led to a favorable settlement for our clients.

Preparation of condominium declaration and related governance documents for mixed-use condominium project in the City of Houston, Texas.

Represented a development company and successfully obtained a summary judgment on liability and an award of specific performance related to the breach of a real estate contract.

Represent private developer in the development and sale of retail shopping center including negotiation and drafting of contracts for sale of improved and unimproved commercial parcels, reciprocal access easements and cost-sharing agreements and incentive agreements with municipalities.

Represented the developer of a luxury hotel in downtown Houston in the acquisition and development of the property, including capital formation and construction financing.

Successfully negotiated resolution of complex, multi-million dollar dispute involving production of steel rig kits for use in offshore jack-up drilling rig application between an overseas steel mill, Houston-based steel fabricator, and offshore drilling systems provider in Mississippi.
