Represented a Houston-based dark/lit fiber network company in connection with a sizable capital raise from private equity for an enormous project involving the engineering and laying of a fiber network to connect 800 + schools located in a major city in the Midwest United States.

Represented a $25 million private equity fund, having as its primary investment focus investments in low budget film productions, in connection with the fund’s formation, capitalization and investments.

Won a jury verdict for an independent oil and gas exploration company for damages to one of its production platforms in the Gulf of Mexico. After a week-long trial, the jury awarded damages that were caused by another oil company’s crew boat running into the platform.

Represented the City of Austin in the acquisition of a golf course for municipal use.

Represented a minority shareholder in a shareholder oppression and breach of fiduciary duty lawsuit alleging that minority shareholder was forced out of his position with the company and was denied his rights as a shareholder. The matter raised unique issues under Texas law concerning duties and obligations between owners of a closely held corporation. The matter ultimately settled for a confidential amount.

Represented the owners of a horizontal boring business in partial recapitalization and debt restructure.

Represented insurance agency in breach of fiduciary duty and misappropriation of trust funds state court lawsuit and related one-week arbitration proceeding before the American Arbitration Association in which over $10,000,000 in damages was in controversy.

Represented purchaser of fully-leased retail center in southeast Houston

Private placement of debt and equity securities for a manufacturer of waste water processing equipment and developer of facilities to convert municipal waste water biosolids into a renewable energy source.

Preparation of condominium declaration and related governance documents for mixed-use condominium project in the City of Houston, Texas.

Represented the seller of a pair of Class A office buildings with approximately 200,000 total square feet to a national real estate investment fund.

Negotiation of Chapter 380 and development and reimbursement agreements with various utility districts and private water and wastewater service providers.

Lead counsel in connection with the acquisition of Amtel Partners and six add-on acquisitions of other T-Mobile dealers 

Represented client in connection with the acquisition of approximately 500 acres in Montgomery County, Texas, and in connection with the subsequent sale of right-of-way frontage to a commercial developer. Transaction included negotiation of terms for a land swap with a municipality in connection with construction of new municipal facilities, as well as development and financing agreements with newly formed in-city municipal utility districts.

Represented a designer, developer and producer of antenna systems and radio frequency circuits in the sale of its capital stock to an Irish based Technology company.

Sale of 85% of the equity in a professional employer, payroll processing and administrative services organization.
