Sale of a hazardous and non-hazardous chemicals and waste transportation business to a private equity controlled supply chain services company.

Represented the purchaser of waterfront property adjacent to the Port of Texas City from a subsidiary of Dow Corning.

Represented various banks and institutional lenders in negotiating and finalizing loan documents.

Represented a private equity partner and asset manager in the formation of various private equity funds and creation of a novel online investor portal designed to bring private equity investments into the mainstream.

Sale of a controlling interest in a company engaged in the business of construction and maintenance services for overhead and underground electrical distribution systems for utilities, regional co-ops, local municipalities and industrial customers, including a pre-sale “F” reorganization.

Serves as outside general counsel for a privately held pool and water maintenance service provider serving the gulf coast

Represented a national home builder in the acquisition of an approximately 80-acre tract of land in Harris County for development as a residential subdivision community, and negotiation of associated conveyance documents, land bank documents, development agreements with adjacent land developer, and financing and reimbursement agreements with the Municipal Utility District.

Obtained a temporary restraining order enjoining two former employees from doing business under a substantially similar business name as that of their former employer as well as from using their former employer’s confidential information. Two defecting, former employees formed a competing company selling power-generation equipment to both commercial and industrial clients. Prior to filing suit, conducted an electronic, forensic review of the former employees computers, and discovered evidence of theft of confidential information. This evidence was subsequently used at the emergency hearing. The case was successfully settled within a month of obtaining the emergency relief.

Represented TGS Cedar Port Partners, L.P. in connection with the acquisition of the largest industrial park in the greater Houston market, comprising of approximately 10,600 acres of unimproved land, a 300,000 square-foot rail-served warehouse on approximately 18 acres of land, and approximately 56 miles of rail and associated storage yards, switches and appurtenances.

Represented a restaurant and bar in defense of a claim under the Fair Labor Standards Act. The plaintiffs were former waitresses and bartenders claiming tip pool violations. The case was settled on favorable terms to the client after minimal discovery.

Represented several Insurance Agencies in connection with their sale to both strategic and private equity buyers.

Represented Core International, LLC, a Houston-based manufacturer and supplier of highly engineered rubber components and supply chain solutions, and its shareholders in a majority recapitalization by Rock Hill Capital Group.

Represented a financial services provider with formation of a hedge fund.

Represented both landlords and tenants in drafting and negotiating various commercial leases, including anchor tenant leases, gross sales leases, ground leases, industrial leases, office leases and retail leases.

Represented Integra Realty Resources Houston (a real estate appraisal and services company) in the sale of its business to Jones Lang LaSalle (JLL).

Represented Blackline in connection with the acquisition of two propane storage terminals in Newington, New Hampshire and Providence, Rhode Island
