Represented a major regional health care system in the disposition of a 138-unit retirement and health care center.

Represented a New York-based hedge fund, Marathon Real Estate Opportunity Funds, in connection with the development and public-private financing of the 1000-room San Antonio Grand Hyatt Convention Center Hotel.

Represented client in a lease for a new cold storage facility at the Port of Houston.

Won a unanimous jury verdict for an owner of a hotel against a large group customer who canceled a series of contracts claiming the hotel’s service has diminished. The customer preemptively sued the client. Counter-claims were filed on behalf of the client and, at trial, the customer’s claims were dismissed via directed verdict. The jury rendered a verdict in favor of the client finding that the customer breached the contracts.

On behalf of a major Texas-based insurance agency, drafted a successful brief in support of a temporary injunction. The court granted the injunction and prohibited the former employee from using confidential information the employee had removed from the agency’s computer system to operate a competing business.

Represented a Texas-based real estate company in the acquisition and repositioning of over 2 million square feet of office building product in Houston.

Obtained multiple defense verdicts in favor of numerous Texas grocery store chains in actions against the State of Texas for violations of contracts to deliver food services under the Woman Infants and Children’s Program in Texas.

Represented an offshore drilling service company in a proceeding brought by former employee claiming race discrimination based on the employer’s alleged failure to provide the employee with the same employment opportunities it provided to other employees outside the protected class. This lawsuit raised unique issues regarding the employer’s obligation to provide offshore work opportunities where it was also providing onshore work.

Obtained multiple defense verdicts in favor of numerous Texas grocery store chains in actions against the State of Texas for violations of contracts to deliver food services under the Woman Infants and Children’s Program in Texas.

Represented Sandbox Enterprises, LLC (a proppant delivery solution product and services company) in its sale to U.S. Silica for a purchase price in excess of $230 million.

Represented the shareholders of a Houston-based oilfield services company in a sale to a private equity firm for $30 million plus shares of stock in the acquiring company.

Represented a Texas-based hospital system in connection with the acquisition, disposition, financing and/or formation of joint ventures constructing, owning and/or operating Acute Care Hospitals; Ambulatory Surgery Centers; Cancer Centers; Imaging Centers; Long-Term Acute Care Hospitals; Medical and Professional Office Buildings; Skilled Nursing Facilities; Wellness Centers.

Represented Catto & Catto (San Antonio) in connection with its sale to HUB

Represented a national wholesaler of products and services for the multi-family apartment industry in numerous acquisitions across the US.

Represented a Houston-based private equity firm in the creation of a novel investment portal granting widespread access to closely held private offerings by drafting private placement documents and providing research regarding legality of the portal.

Represented grocers in administration disputes with the State of Texas through trial at the administrative level.
