Tiffany Melchers is a Shareholder in the Corporate M&A and Real Estate Groups. Her practice is centered on all aspects of the commercial and industrial real estate industry and business transactions.  She represents a diverse set of clients including Texas-based private businesses, developers, and public institutions.

Tiffany regularly represents clients in large-scale acquisitions and dispositions, office and retail leasing, industrial leasing, land development, real estate financing and other sophisticated real estate legal matters.  She also guides clients through complex business transactions, including mergers and acquisitions, corporate dispositions, restructurings, and joint ventures. Her transactional practice also includes the formation and ongoing general representations of all types of business entities.

Tiffany joined the firm in 2021 after practicing in the Houston area since 2012. Prior to becoming a Texan, she practiced in several states and maintains an active presence in Louisiana.   Her passion for representing public institutions began while serving as Associate General Counsel at University of Houston, providing advice and counsel on transactional and pre-litigation matters involving contracts, real estate, construction investments, and other transactions for the University of Houston System and its component institutions.

Tiffany is a sought-after presenter on real estate matters and has participated in CLEs and/or guest lectures for the Association of Corporate Counsel, Higher Education Real Estate Lawyers, Houston Association of Professional Landmen, University of Houston, and others.

Led buyer in an acquisition of one of its largest competitors in the cloud-based voice, internet and unified communication services space. Negotiated and simultaneously closed an amended credit agreement to provide financing for the transaction. Utilized and negotiated representations and warranty insurance policy to mitigate post transaction risk and provide added security for loan.

Represented S-Corporation in conducting a reverse stock split.

Assisted corporate client in drafting and implementation of company policies.

Represented various banks and institutional lenders in negotiating and finalizing loan documents.

Prepared and revised proprietary forms for clients for the leasing and acquisition of real property, as well as construction and construction-related services.

Represented both landlords and tenants in drafting and negotiating various commercial leases, including anchor tenant leases, gross sales leases, ground leases, industrial leases, office leases and retail leases.

Represented client in mediation and negotiated a successful settlement of condemnation proceeding instituted by the Metropolitan Transit Authority of Harris County, Texas.

Represented a buyer in the purchase of a private jet.

Represented seller in negotiating an asset sale for $10 million.

Represented owners of two closely held corporations in companies’ stock sale for approximately $50 million.

Represented client in the acquisition of 46 acres in Katy for $13.8 million.

Represented client in acquisition of 17 acres in downtown Houston for $13 million.

Represented client in drafting all construction contracts related to $75 million construction project.

Represented owner in resolving contract disputes and project close out of a $128 million athletic complex.

Represented client in $40 million commercial real estate transaction, including the structuring of the transaction from development stages and financing through completion

Represented specialty engineering firm in sale-leaseback of headquarters complex and other facilities for $39 million.

Represented Houston based construction company in its $8 million finance transaction with Woodforest Bank

Represented client in capital raise and financing related to the acquisition of a multi-tenant industrial property for $9 million.

Represented major commercial and residential waste collection business and its affiliates in a large scale divestiture in the sale of substantially all of its assets, including multiple properties throughout Central Texas
