Two BoyarMiller Client Transactions Named Finalists in ACG Houston Deal of the Year Awards

HOUSTON (January 8, 2018) – Two complex client transactions completed by the BoyarMiller Business Group have been named finalists in the first Deal of the Year awards program sponsored by the Association for Corporate Growth (ACG) Houston.

ACG Houston is focused on celebrating Houston’s booming middle-market deal community. The new awards program honors the deals and dealmakers who drive middle-market growth resulting in new jobs, capital formation and the advancement of meaningful business relationships. The awards ceremony will be held February 13.

Brenham Wholesale, a 100-year-old family-owned grocery distribution business, is a finalist in the category of Business and Industrial Services Deal of the Year. The BoyarMiller team, led by Shareholder Steve Kesten, structured a management buyout deal as a reverse triangular merger because of several unique considerations, including 75 family shareholders. The complex transaction offered a win/win for the buying management team and selling shareholders.

A finalist in the category of Consumer Products and Healthcare Deal of the Year, Healthy Connections is a home healthcare agency providing specialized in-home services for high-risk obstetric patients. Founded in Houston in 1999, Healthy Connections Management wanted to sell the company to an acquirer that had the capital, experience and scale to accelerate expansion and compete nationally. After two failed attempts to sell the company, the BoyarMiller team, led by Shareholders Philip Dunlap and Gary Miller, successfully guided the company through many complex negotiations with the sellers including earn out provisions, overreaching representations and indemnity provisions, in addition to the required third-party regulatory approvals.
