Chairman's Letter

Hello friends,

This month, one of the more interesting business trends to watch is the growing number of corporate redomestications to Texas. Dell’s proposed move from Delaware to Texas is the latest high-profile example, and it follows a broader conversation many have begun referring to as “DExit.”

For business leaders, that matters for more than symbolic reasons. A company’s state of incorporation shapes the legal framework around governance, fiduciary duties, shareholder rights, and dispute resolution. As Texas continues to build its reputation as a business-friendly jurisdiction, including through its newer business courts, more companies are taking a fresh look at whether their corporate charter still aligns with their strategy, risk profile, and long-term plans. This is a great reminder to revisit governance documents and corporate structure to consider if it’s still a fit.

A recent PNC outlook noted that Houston’s economy is expected to continue outpacing the nation, even as growth slows. Bright spots include population expansion that fuels a worker and consumer base for companies and a temporary boom due to oil spikes from the Iran war. At the same time, higher housing costs, trade pressures, geopolitical conflict, and rising recession risk are all factors business leaders should monitor carefully. In this type of environment, disciplined businesses tend to separate themselves by making sound decisions around hiring, expansion, contracts, capital, and risk.

As the FIFA World Cup approaches, Texas will be in the global spotlight as Saudi Arabia has selected Austin as its base camp and Dallas and Houston host matches. Major international events like this bring visibility, investment, and commercial activity across hospitality, retail, infrastructure, and related industries, highlighting that business opportunity in the state is often fueled by a convergence of factors.

We are also excited to announce the release of the Chambers and Partners rankings. Chambers continues to be one of the legal industry’s most respected guides, and we are proud of the attorneys and practices recognized through the submission process each year.

Congratulations are also in order for several friends of the firm named EY Entrepreneur of the Year Gulf South Region finalists – Goran Haag of Champion Fiberglass®, podcast guest Levi Goode of Goode Co. Restaurants, Billy Brown of Big Easy Ranch and Donnie Young of Race Rock.

We are also pleased to welcome Joe Magro and Aimee Smith to BoyarMiller. Joe joins the firm as Of Counsel in our Corporate M&A group, and Aimee joins as our Recruiting and Talent Manager. We are glad to have them on board.

Our role is to help clients think clearly, act strategically, and stay prepared for what comes next. Whether that means navigating governance questions, evaluating growth opportunities, or managing risk in a dynamic economy, we are here to help businesses move forward with confidence.

Warm regards,
