Lyndsay Fincher joined the Business Group in January 2013. Her practice is primarily devoted to representing domestic and foreign entities and individuals in a wide range of corporate and real estate matters including private securities, complex mergers and acquisitions, corporate formation and restructuring, leasing and land acquisition, disposition and development.

Prior to joining BoyarMiller, as an associate for a boutique firm in Houston, Lyndsay worked on various corporate and real estate matters including entity formation, corporate governance, and acquisition, development, leasing, management and disposition of residential and commercial properties.

As a dean’s scholar at South Texas College of Law Houston, Lyndsay served as the Managing Editor for the Texas Business Journal, the official publication of the State Bar of Texas. During that time, she clerked for the Honorable Judge Bohm and with the International Criminal Tribunal for the Former Yugoslavia. Prior to law school, Lyndsay was a sixth grade math and science teacher at Yes Prep Public Schools.

Capital Formation/Private Placement

  • Representation of a medical group in connection with the organization and capitalization of an entity for physicians to invest proceeds and negotiation of a subsequent joint venture with a major hospital system to open and operate a new freestanding emergency and urgent care facility.
  • Representation of an oil and gas related company in connection with its capital raise through a private placement under Regulation D of the Securities Act of 1933.
  • Represented regional sponsor and developer of free standing emergency departments in multiple capital raises through private placements under Regulation D of the Securities Act of 1933.
  • Representation of a memory care facility in connection with its initial organization and round one capital.

Mergers and Acquisitions

  • Ongoing representation of a Chinese based company in connection with its international expansion strategy for export of agricultural related products (including capital raises and restructure transaction in anticipation of capital raises).
  • Ongoing representation of a private equity backed company in the workforce third-party administrator and toxicology lab business in multiple acquisitions in furtherance of their growth by acquisition strategy.
  • Represented a Houston-based entrepreneur in connection with the strategic restructure of personal investments in over 60 entities involving land development, retail, private equity, specialty finance, oil and gas, industrial and build-to-suit.
  • Represented oil and gas firm in the acquisition of several related oil and gas related technology businesses.
  • Represented Integra Realty Resources – Houston and IRR-OC (real estate appraisal and services companies) in the sale of their businesses to Jones Lang LaSalle (JLL).
  • Represented the minority owner and operator of free standing emergency centers in the sale of the membership interests to a national hospital operating company.
  • Represented the owner of a Houston-based industrial pump services company in connection with the sale of all of the capital stock of the company to a Chicago-based private equity firm.
  • Represented a private company in its acquisition of an oil and gas services company.
  • Represented foreign corporations in connection with their global expansion into the United States and start up of US based subsidiaries.

Public & Public/Private Partnership Projects

  • Represented Midway in a collaborative partnership with Texas A&M University, among others, in connection with the financing, development and pre-leasing of phase one of an approximately 60 acre multi-phase mixed-use project in College Station, Texas known as Century Square, which, once complete, will include two full-service hotels, office, retail, restaurants, entertainment, loft apartments and more.

Real Estate

  • Representation of the developer of a multi-phase, mixed-use, urban infill development in Houston.
  • Representation of a developer and operator of multi-unit residential facilities.
  • Represented a North American midstream energy logistics and infrastructure company in connection with securing a long-term ground lease covering approximately 75 acres of unimproved land for the development and operation of a rail terminal.
  • Represented the developer of a 30-acre mixed use development in College Station, Texas, including multifamily, hospitality and retail components.
  • Preparation of condominium declaration and related governance documents for mixed-use condominium project in Houston.
  • Represented the developer of master-planned communities in the purchase of raw land for residential construction.
  • Represented various landlords and real estate developers in the negotiation of office and retail leases with national chains and local tenants.
  • Preparation of condominium declaration and related governance documents for mixed-use condominium project in the City of Houston, Texas.
